Terms and Conditions
Last Updated: 25 August 2026
These Terms and Conditions ("Terms") govern access to and use of Conversion Matters (the "App," "Service," "we," "us," or "our"), a content and social media management platform developed as part of Conversion Matters, an enrichment project operated by its student team. The Service is provided to businesses and individuals ("Client," "you," or "your") for the purpose of planning, producing, and evaluating social media content.
By creating an account, logging in with your Google account, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About This Service
1.1 The Service is developed and operated as a university enrichment project. It is not currently operated by a registered legal business entity. You acknowledge and accept this when using the Service, including that the protections, guarantees, and recourse typically available when dealing with a registered company may not apply in the same way here.
1.2 The Service is provided to help you plan, write, organize, and evaluate social media content, including but not limited to:
- Content Calendar — view and manage a calendar of planned content
- Script Writing — draft scripts directly within the Service
- Competitor Benchmarking — track and compare competitor content and performance
- Content Pillars — organize content around defined strategic themes
- AI-Assisted Evaluation — content review and suggestions powered by Google's Gemini API
1.3 We may add, change, or remove features at any time without prior notice, given the early-stage and evolving nature of the Service.
2. Eligibility
2.1 You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use this Service.
2.2 You must have the authority to act on behalf of any business or brand whose content you manage through the Service.
2.3 You must have a valid Google account to use the Service, as account access and data storage depend on Google authentication.
3. Account Registration and Google Sign-In
3.1 The Service uses Google Sign-In (OAuth) for account creation and login. By signing in, you authorize the Service to access certain Google account information (such as your name, email address, and profile picture) as needed to operate your account.
3.2 You are responsible for maintaining the confidentiality of your Google account credentials and for any activity that occurs under your account.
3.3 You may revoke the Service's access to your Google account at any time through your Google Account permissions page. Revoking access will disable your ability to use the Service until access is granted again, and may affect the App's ability to read or write your content files.
4. Google Drive Access and Data Storage
4.1 Storage location. All content data you create or manage through the Service — including calendars, scripts, benchmarking data, and pillar structures — is stored as spreadsheet files in your own Google Drive, not on our servers. We do not maintain a separate permanent copy of your content data.
4.2 Scope of access. The Service requests access limited to files and folders that the Service itself creates, or that you explicitly select and grant access to through Google's file picker (Google Drive drive.file scope). The Service does not have blanket access to your entire Google Drive, and cannot view, edit, or access files you have not created through or explicitly shared with the App.
4.3 What we can do with authorized files. For files created by or shared with the Service, we may read, write, edit, and organize content within those files as needed to provide the Service's features (e.g., updating your content calendar, saving scripts, logging benchmarking data).
4.4 Default privacy of your files. Files created through the Service are private by default. Unless you actively choose to share a file (e.g., using Google Drive's "Share" function), no one else can view its contents — including the Conversion Matters team. We do not have standing visibility into your files beyond what is needed to run the App's automated features on your behalf; a human team member cannot open or read your file unless you have shared it with them directly.
4.5 Your control over sharing. Sharing a file is entirely your decision and is managed through Google Drive's own sharing controls. You may revert a shared file back to private at any time, which immediately removes access for anyone the file was shared with, except where Google's own caching or offline access behavior applies outside our control.
4.6 Your responsibility. You are responsible for the accuracy, legality, and appropriateness of the content stored in your connected files, and for managing sharing permissions on those files.
4.7 Loss of access. If you delete, move, or change sharing permissions on files connected to the Service outside of the App, some features may stop working correctly. We are not responsible for data loss resulting from changes made directly in Google Drive outside the Service.
5. AI-Assisted Features (Gemini API)
5.1 The Service's content evaluation feature uses Google's Gemini API to analyze and provide feedback on content you submit for review.
5.2 When you use this feature, relevant content (such as scripts, captions, or performance data you submit for evaluation) is sent to Google's Gemini API for processing. This processing is subject to Google's Gemini API terms and data handling policies, separate from Google Drive access.
5.3 Do not submit content containing sensitive personal data (e.g., financial account details, health information, government ID numbers) for AI evaluation unless necessary and appropriate for your use case.
5.4 AI-generated feedback and suggestions are provided for informational purposes only. We do not guarantee the accuracy, completeness, or suitability of AI-generated evaluations, and you remain solely responsible for decisions made based on them.
5.5 Bring Your Own Key (BYOK): Users have the option to bypass platform limits by providing their own API Key (Bring Your Own Key) for Google Gemini. If you use the BYOK feature, you are solely responsible for all billing, costs, and compliance with the third-party provider (Google). You must not use the BYOK feature to violate Google's Terms of Service. Conversion Matters is not responsible for any unexpected charges incurred on your personal API key.
6. Competitor Benchmarking Feature
6.1 The benchmarking feature allows you to log and organize publicly available information about competitor content (e.g., links, view counts, content notes) that you input manually or gather yourself.
6.2 You are responsible for ensuring that any data you input complies with the terms of service of the platforms from which it was sourced (e.g., TikTok, Instagram). The Service does not automatically scrape or extract data from third-party platforms on your behalf unless explicitly stated as a feature.
6.3 Benchmarking data reflects information available at the time it was logged and may become outdated. We make no guarantee of ongoing accuracy.
7. Content Ownership
7.1 You retain full ownership of all content you create, upload, or manage through the Service, including scripts, captions, calendars, and benchmarking data, since this content is stored in your own Google Drive.
7.2 We do not claim ownership over your content and will not use it for purposes beyond operating the Service, except as described in Section 5 regarding AI processing.
7.3 You are solely responsible for ensuring you have the necessary rights to any content you input, including client materials, brand assets, and third-party references.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or third-party rights, including intellectual property or privacy rights
- Upload or generate content that is unlawful, defamatory, or infringing
- Attempt to gain unauthorized access to other users' data or accounts
- Interfere with or disrupt the Service's infrastructure or security
- Use the AI evaluation feature to generate harmful, deceptive, or abusive content
We reserve the right to suspend or terminate accounts that violate this section.
9. Fees and Subscription
9.1 The Service is offered through monthly paid subscription tiers. New users are currently offered free access as part of an introductory period; pricing for paid tiers will be communicated in advance once introduced.
9.2 Billing cycle. Subscriptions renew automatically on a monthly basis from the date of initial purchase, unless canceled before the next billing date.
9.3 Payment method. You must provide a valid payment method to subscribe. You authorize us to charge that payment method on each renewal date.
9.4 Cancellation. You may cancel your subscription at any time through your account settings. Cancellation stops future billing but does not entitle you to a refund for the current billing period already paid.
9.5 Refunds. A refund may be processed if there is strong indication of damages or issues preventing you from using the Service as intended. Refund requests must be made by contacting us at claryon.ai@gmail.com, and will be reviewed on a case-by-case basis.
9.6 Downgrades and access after cancellation. Upon cancellation or downgrade, access to paid-tier features ends at the close of the current billing period. Your content remains in your own Google Drive regardless of subscription status, per Section 4.
9.7 Price changes. We may change subscription pricing with reasonable advance notice. Continued use of a paid tier after a price change takes effect constitutes acceptance of the new pricing.
10. Service Availability
10.1 The Service is under active development and provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation.
10.2 As a student-operated project, we do not commit to a formal service-level agreement (SLA), guaranteed uptime, or guaranteed response times for support requests.
10.3 We may suspend, modify, or discontinue the Service at any time, including permanently, with reasonable notice where practical.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED EVALUATIONS WILL BE ACCURATE.
12. Limitation of Liability
12.1 To the maximum extent permitted by applicable law, the Service, its student developers, and affiliated parties shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities, arising from your use of the Service.
12.2 Because the Service is operated as an informal student project without a registered legal entity, you acknowledge that liability recourse available to you may be limited compared to services operated by registered companies, and you use the Service at your own risk.
12.3 Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Data Retention and Account Deletion
13.1 Since your content is stored in your own Google Drive, deleting your account with the Service does not delete your files from Google Drive — you retain full control over those files independently.
13.2 Any account metadata or cached data held by the Service (e.g., login session data, cached previews) will be deleted within 30 days of account deletion.
13.3 You may request account deletion at any time by contacting us at claryon.ai@gmail.com.
13.4 We cannot delete your backup files. Because your content and backup spreadsheet files are stored in your own Google Drive rather than on our servers, Conversion Matters has no ability to delete these files on your behalf, including upon account cancellation, subscription downgrade, or account deletion. These files remain fully under your ownership and control, and you are responsible for deleting them directly through Google Drive if you no longer wish to retain them.
14. Termination
14.1 You may stop using the Service and disconnect your Google account at any time.
14.2 We may suspend or terminate your access to the Service if you violate these Terms, engage in abusive behavior, or if the Service is discontinued.
14.3 Sections relating to content ownership, disclaimers, limitation of liability, and governing law survive termination.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the App or via the email associated with your account. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict of law principles. Any disputes arising from these Terms or use of the Service shall first be attempted to be resolved through good-faith discussion between the parties.
